Terms of Service

1. Acceptance of these Terms

By creating an account, accessing, or using the Repotrix service available at https://repotrix.ai and https://api.repotrix.ai ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and that organisation.

The Service is operated by Repotrix Software Solutions, a sole proprietorship registered in India under GSTIN 33FTMPS8929C2Z5. Our registered postal address is available on written request to contact@repotrix.ai for legal notices, regulatory inquiries, or service of process.

If you do not agree to these Terms, you may not use the Service.

2. The Service

Repotrix is an AI-assisted code analysis platform that:

  • Ingests source code repositories you authorise it to read
  • Generates documentation, security reports, onboarding guides, and architecture diagrams
  • Optionally watches your repositories for changes (drift detection) and posts review comments on pull requests (PR Companion)
  • Provides a retrieval-augmented chat interface to ask questions about your code

Features available depend on your subscription tier (see Section 6).

3. Eligibility and account

You must be at least 16 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. You agree to provide accurate registration information and to keep it current.

You are responsible for:

  • The security of your account credentials
  • All activity that occurs under your account
  • The lawfulness of any code, tokens, or data you submit to the Service

We may refuse, suspend, or terminate accounts that violate these Terms or applicable law.

4. Your content

4.1 What "Your Content" means

"Your Content" means any code, configuration, prompts, chat messages, or other data you submit to the Service, either directly or via a connected source-control provider (GitHub, Bitbucket, etc.).

4.2 You keep ownership

You retain all intellectual-property rights in Your Content. We claim no ownership over your code.

4.3 Licence you grant us

To operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, process, transform, and display Your Content solely for the purpose of providing the Service to you.

This licence:

  • Does not authorise us to use Your Content to train AI models — yours or anyone else's
  • Does not authorise us to sell or distribute Your Content
  • Ends when you delete the content or your account (subject to the backup retention period described in the Privacy Policy)

4.4 Third-party processing

To deliver AI-generated outputs, we send portions of Your Content to third-party LLM providers (currently Google Gemini) and vector stores (currently Pinecone). See the Privacy Policy for the full list of sub-processors and the safeguards in place.

By using the Service you authorise this third-party processing. You are responsible for ensuring you have the right to share Your Content with these sub-processors — for example, by not connecting repositories you are not authorised to expose to third parties.

5. Acceptable use

You agree not to use the Service to:

  • Upload or process content that infringes someone else's intellectual property
  • Upload content that is illegal, hateful, harassing, or otherwise harmful
  • Connect repositories you are not authorised to access
  • Reverse-engineer, scrape, or otherwise abuse the Service or its APIs beyond the documented rate limits
  • Attempt to circumvent authentication, rate limits, quota enforcement, or payment
  • Use the Service to compete with us by replicating substantially the same features
  • Probe or attack the Service's security (except through our responsible disclosure process — email contact@repotrix.ai with subject line SECURITY)

Violation may result in immediate suspension and termination without refund.

6. Subscriptions, billing, and refunds

6.1 Plans and pricing

The Service is offered on a free tier and paid tiers. Current pricing and feature limits are listed at https://repotrix.ai/pricing and may change with 30 days' notice via email.

6.2 Payment

Paid subscriptions are billed via Razorpay. By subscribing, you authorise recurring charges on your selected payment method until you cancel. Razorpay handles all card and account data — we never see your full payment instrument.

6.3 Free trials and credits

Free trials, if offered, automatically convert to a paid subscription at the end of the trial unless cancelled before the trial ends.

6.4 Refunds

Subscription fees are non-refundable except where required by law. If you cancel mid-billing-period, your subscription remains active until the period ends and is not renewed thereafter.

6.5 Quotas

Each paid tier carries usage quotas (token usage, PR reviews per month, etc.). Exceeding a quota does not bill overage by default; the Service will skip or queue tasks until the next billing period or until you upgrade. Some plans may offer optional metered overage — those terms are disclosed at upgrade time.

6.6 Taxes

Listed prices may exclude applicable taxes (GST in India, VAT in the EU, etc.). Taxes are added at checkout based on your billing address.

7. Termination

7.1 By you

You may delete your account at any time via Profile → Delete account. Deletion is described in the Privacy Policy.

7.2 By us

We may suspend or terminate your access immediately if you:

  • Materially breach these Terms
  • Use the Service in a way that exposes us to legal risk
  • Have an account that has been inactive for more than 12 months on a free plan (after 30 days' email warning)

On termination, paid features stop, but content remains accessible for export for 30 days before final deletion.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

In particular:

  • AI outputs are not authoritative. Generated documentation, security findings, architecture diagrams, and PR review comments may contain factual errors, omissions, or hallucinations. Do not rely on Service output as a substitute for human review of code, security, or architecture decisions.
  • The PII / secret scrubber is best-effort. It may fail to mask novel secret formats. Do not commit real production secrets to repositories you connect.
  • The Service may be unavailable for maintenance, upgrades, or due to third-party outages. We aim for high uptime but make no specific availability commitment unless documented in a written Enterprise agreement.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF:

  • The fees you paid us for the Service in the 12 months preceding the event giving rise to the claim, or
  • ₹10,000 / US$120

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Repotrix and its officers, directors, employees, and agents from any claim, damage, or expense (including reasonable legal fees) arising out of:

  • Your Content (including any claim that Your Content infringes someone's rights)
  • Your violation of these Terms or applicable law
  • Your misuse of the Service

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email at least 30 days before they take effect. Continued use of the Service after a material change constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the courts of Chennai, Tamil Nadu, India.

If you are a consumer in the EU/UK, you retain any mandatory consumer-protection rights of your home jurisdiction.

13. Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy and any plan-specific addenda) are the entire agreement between you and us.
  • Severability. If any clause is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a right is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or asset sale.
  • Force majeure. We are not liable for failures caused by events beyond our reasonable control (outages of underlying providers, government action, natural disasters, etc.).
